These Terms of Service ("Terms") govern your company's access to and use of the Intelligence Platform (the "Service"), operated by Iridae ApS ("we", "us", "our").
By purchasing or using the Service, you agree to these Terms on behalf of the business you represent ("you", "Customer").
If you do not agree, do not use the Service.
The Service
The Service allows you to submit materials about a game (including the connection of live inputs, uploads, and links) and receive outputs that help guide production and marketing (the "Outputs").
The Service is primarily self-serve, but may include human processing and/or review to produce or quality-check Outputs.
Not professional advice. Outputs are informational and may be incomplete or wrong. You are solely responsible for decisions, execution, compliance, and results.
Definitions
- Customer Content: Anything you upload, transmit, or make available to us (including via links), such as documents, spreadsheets, game design materials, builds, creative assets, marketing plans, and related information.
- Private Links: URLs you provide that may grant access to content hosted elsewhere (for example, internal docs, drives, and build systems).
- Outputs: Analyses, recommendations, summaries, plans, or similar results produced by the Service.
Eligibility and authority
You confirm that:
- you are acting for a business
- you have authority to bind that business to these Terms
Customer Content, rights, and responsibilities
You retain ownership of Customer Content.
You are responsible for:
- ensuring you have all rights and permissions needed to provide Customer Content and Private Links
- ensuring the content you share does not violate any law, contract, confidentiality obligation, or third-party rights
- your security settings on third-party systems (for example, link permissions and access tokens)
PII and sensitive data. You must not submit personal data, confidential personal data, or other sensitive information unless you have a lawful basis and it is necessary. While we may attempt to reduce exposure to obvious personal data, you are responsible for removing or masking anything that could create legal or contractual risk.
License to process Customer Content
You grant us a limited, non-exclusive, worldwide license to access, host, copy, process, and use Customer Content only to:
- provide, operate, and improve the Service
- generate Outputs for you
- maintain safety, prevent abuse, and debug issues
- comply with legal obligations
If you provide Private Links, you authorize us to access the linked content as necessary to provide the Service. You represent that such access is permitted.
Confidentiality
We will treat Customer Content and Outputs as Customer confidential information and will not disclose them to third parties except:
- to subprocessors/service providers who need access to deliver the Service and are bound by confidentiality obligations
- to comply with law, court orders, or lawful government requests
- with your written permission
You remain responsible for what you submit and for any confidentiality duties you owe to others.
Acceptable use
You will not use the Service to:
- submit or request illegal content or illegal activity
- infringe IP rights or misappropriate trade secrets
- distribute malware, attempt unauthorized access, or interfere with the Service
- circumvent usage limits or security controls
- reverse engineer or extract models, prompts, or system behavior beyond normal use
We may suspend or terminate access if we reasonably believe you violated these Terms or pose security/legal risk.
AI, human review, and training
The Service may use AI systems and subprocessors. Details are described in our AI Policy: https://iridae.com/legal/ai.
Training and improvement. You agree that we may use Customer Content to improve the Service, including via privacy-preserving approaches (for example, federated-style training where we learn model updates/weights rather than reusing your raw content across accounts). Even so, improvements may influence the Service generally. We do not promise that training can eliminate all risk of memorization or unintended leakage, but we apply technical and organizational safeguards.
If your business requires a no-training arrangement, you must not use the Service unless we have a signed written agreement stating otherwise.
Intellectual property
Your IP: You own Customer Content.
Our IP: We own the Service, underlying systems, templates, methods, models, and all improvements to them.
Outputs usage: You may use Outputs for your internal and commercial purposes (including your game and marketing). You may share Outputs with your contractors who are bound by confidentiality terms at least as protective as these Terms.
You may not resell Outputs as a standalone product, provide the Service to third parties as a bureau/service, or use the Service to build a competing product, except to the extent mandatory law prohibits such restrictions.
Fees, payment, taxes, and no refunds
Fees are due as stated in your account's payment and plan settings.
No refunds. All sales are final. We do not offer refunds, credits, or returns, including for unused capacity or dissatisfaction with Outputs.
You are responsible for applicable taxes (including VAT where applicable), unless expressly included in the price.
Privacy and data protection
Our Privacy Policy explains how we process personal data: https://iridae.com/legal/privacy.
Where we process personal data on your behalf as a processor, the parties will rely on our Data Processing Addendum (DPA): https://iridae.com/legal/dpa (or a signed equivalent).
You are responsible for ensuring your submission of any personal data to us is lawful and appropriately disclosed to data subjects where required.
Retention and deletion
We retain Customer Content and Outputs for as long as needed to:
- provide the Service
- meet legal/accounting requirements
- resolve disputes, enforce agreements, and improve the Service (including training as described)
Retention specifics may be described in the Privacy Policy, DPA, or AI Policy. If you require custom deletion timelines, that requires a written agreement.
Service availability and changes
We may change, suspend, or discontinue parts of the Service at any time. We do not guarantee uninterrupted availability or that the Service will meet your requirements.
We may update these Terms by posting an updated version with a new effective date. Updates apply to continued use after the effective date.
Disclaimers
To the maximum extent permitted by law, the Service and Outputs are provided "as is" and "as available," without warranties of any kind, including fitness for a particular purpose, accuracy, non-infringement, or that Outputs will lead to any specific commercial results.
Limitation of liability
To the maximum extent permitted by law:
We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data.
Our total liability for all claims relating to the Service will not exceed the amount you paid for the Service for the applicable order.
Nothing in these Terms limits liability that cannot be limited under applicable law (for example, intentional misconduct).
Term and termination
These Terms apply from your first use until terminated.
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or if required for legal/security reasons.
Sections that should logically survive termination (including confidentiality, IP, disclaimers, liability limits, and dispute terms) survive.
Governing law and venue
These Terms are governed by the laws of Denmark, excluding conflict-of-law rules.
Any disputes will be brought exclusively in the courts of Copenhagen, unless mandatory law requires otherwise.
Miscellaneous
Assignment: You may not assign these Terms without our written consent. We may assign them as part of a merger, acquisition, or asset sale.
Severability: If any provision is unenforceable, the rest remains in effect.
Entire agreement: These Terms, plus any referenced policies (Privacy Policy, DPA, AI Policy) and any order form, are the entire agreement for the Service.
